Welcome to the Amelia Island Periodontics website, which is provided to you (“you,” “your”) by Amelia Island Periodontics (“Amelia Island Periodontics,” “we,” “us,” or “our”). Your use and access of the Website is governed by and subject to the following Terms of Use (these “Terms”). 

The “Website” means (i) www.ameliaperio.com, (ii) any other website operated by or on behalf of Amelia Island Periodontics that links to these Terms, and (iii) the Content (defined below), functionality, features, and online services offered through (i) or (ii). “Services” means the appointment request, new patient and referral form, insurance and scheduling inquiry, contact, feedback, practice communication, and informational content functions made available through the Website. 

If you do not agree to these Terms or are not at least eighteen (18) years old, do not use the Website. By using the Website, you represent and warrant that you agree to these Terms, are at least eighteen (18) years old, and possess the legal right and authority to agree to these Terms. Consistent with the “Children’s Information” section of our Privacy Policy, we do not knowingly collect Personal Information through the Website from persons under the age of 18, and Website forms should be submitted by a parent or legal guardian on behalf of a minor patient. 

Changes to Our Terms of Use 

Please review these Terms often as we may update these Terms from time to time to reflect changes in our practices or for other operational, legal, or regulatory reasons. Intellectual Property 

As between you and Amelia Island Periodontics, the Website, including all associated Content, is owned exclusively by us and/or our affiliates and licensors. “Content” means all text, images, graphics, audio, video, software, data, and any other materials that are available on or through the Website. You agree that Amelia Island Periodontics shall be free to reproduce, use, disclose, exhibit, display, transform, create derivative works, and distribute such Feedback to others without limitation and without providing payment of any kind, or any consideration, to you or a third party. Acceptable Use Policy

• Engage in Harmful Activities: Engage in any activities through the Website which, as determined by Amelia Island Periodontics in Amelia Island Periodontics’s sole discretion, may harm Amelia Island Periodontics, our patients, our service providers, or other third parties.

We reserve the right to withdraw or amend the Website, in whole or any part, in our sole discretion, at any time, with or without notice. We will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of, or the entire, Website.

You represent and warrant that all the information you provide on the Website is correct, current, and complete. • Communications: When you interact or communicate with us, such as by using our online forms to request an appointment, submit a new patient or referral form, ask an insurance or scheduling question, submit inquiries, or subscribe to communications, you may also be interacting with or through our appointment scheduling and communications vendors and their technologies. 

• Analytics: We use Google Analytics only to collect and analyze usage data to improve the Website and our Services. We do not use targeted advertising cookies, third-party ad trackers, advertising pixels, social media pixels, or cross-context behavioral advertising technologies. Your use of any of these third-party providers’ services is subject to your agreement to, and continued compliance with, their terms and conditions. By submitting User Content, you grant Amelia Island Periodontics a non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content in connection with the Website and our Services. We will not sell User Content or share it for cross-context behavioral advertising. 

You represent and warrant that you own or have the necessary rights to submit User Content and that your User Content does not infringe the intellectual property or other rights of any third party. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMELIA ISLAND PERIODONTICS OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS, LOST PROFITS, LOSS OF OPPORTUNITY, LOSS OF DATA, LOSS OF SERVICES, OR DAMAGES TO YOU OR YOUR HARDWARE OR SOFTWARE, EVEN IF AMELIA ISLAND PERIODONTICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR YOUR RELIANCE ON THE CONTENT, WHETHER BASED ON CONTRACT, NEGLIGENCE OR OTHER FAULT OF AMELIA ISLAND PERIODONTICS, ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBSIDIARIES AND AFFILIATES, TORT, STRICT LIABILITY, OR ANY OTHER THEORY OF LEGAL LIABILITY. NOTHING IN THESE TERMS LIMITS LIABILITY FOR THE PROVISION OF PROFESSIONAL DENTAL SERVICES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU IF YOU RESIDE IN SUCH A JURISDICTION. 

YOU ACKNOWLEDGE AND AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH US, OUR EMPLOYEES, AFFILIATES, AGENTS, REPRESENTATIVES, AND LICENSORS ARISING OUT OF OR RELATING TO THE WEBSITE IS TO STOP USING THE WEBSITE. IN NO CASE SHALL THE TOTAL AGGREGATE LIABILITY OF US, OR OUR AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIVES, AND LICENSORS TO YOU IN CONNECTION WITH THE WEBSITE EXCEED ONE HUNDRED DOLLARS (US$100). Indemnification 

You agree to defend, indemnify, and hold harmless Amelia Island Periodontics, its service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Website, or your use of any information obtained from the Website, including, but not limited to, your use of the Website other than as expressly authorized in these Terms. 

 

Arbitration and Class Action Waiver 

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. 

You and Amelia Island Periodontics agree that these Terms affect interstate commerce and that the Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions. 

This section (the “Arbitration Section”) is intended to be interpreted broadly and governs any and all disputes between us, including but not limited to claims arising out of or relating to any aspect of the relationship between us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory; claims that arose before your agreement to these Terms or any prior agreement; and claims that may arise after the termination of these Terms. The only disputes excluded from this broad prohibition are the litigation of certain intellectual property and small court claims, as provided below. By agreeing to these Terms, you agree to resolve any and all disputes with Amelia Island Periodontics as follows: 

• Initial Dispute Resolution: Except for intellectual property and small claims court claims, the party pursuing the dispute or claim must first give the other party an opportunity to resolve the dispute by sending an individual, written description of the claim that describes in detail the individual damages that the party claims to have suffered (the “Notice of Claim”). You must send your Notice of Claim to Amelia Island Periodontics at [INSERT MAILING ADDRESS], ATTN: Legal, or by email to [INSERT EMAIL ADDRESS]. Upon receipt of the Notice of Claim, the receiving party shall engage with the notifying party, and both parties agree to use their best efforts to settle any such dispute directly through consultation with the other party, and in good faith for a period of at least sixty (60) days (the “Good Faith Negotiations”). Such Notice of Claim and Good Faith Negotiations shall be conditions precedent to either party initiating a lawsuit or arbitration. 

• Binding Arbitration: If the parties do not reach an agreed-upon solution after at least sixty (60) days from the time the Good Faith Negotiations are initiated, then either party may initiate binding arbitration as the sole means to resolve such claims. All claims arising out of or relating to these Terms, the Privacy Policy, the parties’ relationship with each other, and/or your use of the Website shall be finally settled by binding arbitration administered by JAMS in accordance with (i) the JAMS Streamlined Arbitration Procedure Rules for claims that do not exceed $250,000; (ii) the JAMS Comprehensive Arbitration Rules and Procedures for claims exceeding $250,000; and (iii) the JAMS Mass Arbitration Procedures and Guidelines, excluding any rules or procedures governing or permitting class actions. This Arbitration Section does not apply to claims arising out of the provision of professional dental services, which are governed by the applicable patient agreements and law. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, or enforceability of these Terms. The arbitrator’s award shall be written, binding on the parties, and may be entered as a judgment in any court of competent jurisdiction. 

• Arbitration Fees: To the extent the filing fee for the arbitration exceeds the cost of filing a lawsuit, Amelia Island Periodontics will pay the additional cost. If the arbitrator finds the arbitration filed by you to be non-frivolous, Amelia Island Periodontics will pay the fees invoiced by JAMS, including filing fees and arbitrator and hearing expenses. You are responsible for your own attorneys’ fees unless the arbitration rules and/or applicable law provide otherwise. 

• Forum Selection: If you are a resident of the United States, arbitration may take place in the county where you reside at the time of filing. For individuals residing outside the United States, arbitration shall be initiated in [INSERT COUNTY, STATE], and you and Amelia Island Periodontics agree to submit to the personal jurisdiction of any federal or state court in [INSERT COUNTY, STATE] in order to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator. 

• Class Action Waiver: The parties further agree that the arbitration shall be conducted by the parties in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis. YOU AND Amelia Island Periodontics AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If any court or arbitrator determines that the class action waiver is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration agreement and class action waiver will not apply to that claim, but they will still apply to any and all other claims that the parties may assert. 

• Litigation of Intellectual Property and Small Claims Court Claims: Notwithstanding the parties’ decision to resolve all disputes through arbitration, either party may bring enforcement actions, validity determinations, or claims arising from or relating to theft, piracy, or unauthorized use of intellectual property in state or federal court or in the U.S. Patent and Trademark Office to protect its intellectual property rights. Either party may also seek relief in a small claims court for disputes or claims within the scope of that court’s jurisdiction. 

• 30-Day Right to Opt Out: You have the right to opt out and not be bound by the arbitration and class action waiver provisions by sending written notice of your decision to opt out to [INSERT EMAIL ADDRESS] with the subject line, “ARBITRATION AND CLASS ACTION WAIVER OPT-OUT.” The notice must be sent within thirty (30) days of your first use of the Website; otherwise, you shall be bound to arbitrate disputes in accordance with this Arbitration Section. 

• Changes to This Arbitration Section: We will provide notice of any changes to this Arbitration Section by posting them on this page. Amendments will become effective thirty (30) days after such notice is provided, and the corresponding changes will apply only to claims arising after such amendments become effective. 

• Survival: This Arbitration Section shall survive any termination of your access or use of the Website. 

General Provisions 

• Assignment: You may not assign or otherwise transfer in any way any of the rights and obligations arising out of these Terms without our prior written consent, which consent may be withheld at our sole and absolute discretion. We may assign these Terms in whole or in part at any time with or without notice to you. 

• Waiver and Severability: If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition. 

• Governing Law: Any disputes arising out of or related to the use of the Website shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], without regard to its conflict of law principles.
